Fair Use & Intellectual Property.
A transparent declaration of our rights to commentary, criticism, and news reporting under United States and United Kingdom law.
Trademark Policy
We assert Nominative Fair Use over the term "Soho House." We use the mark solely to identify the subject of our reporting. We do not use the official logo, font, or trade dress in a manner that would cause consumer confusion.
Copyright Policy
Our content is protected under 17 U.S.C. § 107. It is transformative, educational, and non-commercial. We synthesize public facts into original analysis and do not serve as a market substitute for the original works.
1. Unofficial Status & Non-Affiliation
This website is an independent publication. We are not affiliated with, associated with, endorsed by, or in any way officially connected with Soho House & Co Inc., or any of its subsidiaries or affiliates.
The official Soho House website can be found at sohohouse.com. The names "Soho House," "Soho Works," "The Ned," and related marks are registered trademarks of their respective owners.
2. Trademark Defense: Nominative Fair Use
Our use of the trademark "Soho House" is strictly nominative. Under the principles established in cases such as New Kids on the Block v. News America Publishing, Inc., our usage meets the three-part test for nominative fair use:
- Necessity: The product/service (the club network) cannot be readily identified without using its name. We cannot discuss "Soho House" without saying "Soho House."
- Scope: We use only as much of the mark as is reasonably necessary to identify the product. We do not use the company's distinctive logotype or styling in our branding.
- No Sponsorship Implied: We do nothing that would suggest sponsorship or endorsement. Our site design ("Architectural Minimalism") is visually distinct from the brand's aesthetic, and disclaimers are prominent on every page.
3. Copyright Defense: 17 U.S.C. § 107
This site operates under the doctrine of Fair Use as codified in Section 107 of the U.S. Copyright Act. We assert our compliance based on the four statutory factors:
I. Purpose and Character of the Use
Our use is transformative. We do not merely republish content; we add substantial value through:
- Commentary & Criticism: Analyzing business decisions, expansion strategies, and service quality.
- News Reporting: Covering public filings, lawsuits, and press releases.
- Education: Providing guides on how to exercise legal rights (DSARs) and understanding membership tiers.
Furthermore, our use is non-commercial. This site is an educational resource and does not sell memberships or competing services.
II. Nature of the Copyrighted Work
Much of the information discussed (locations, amenities, pricing, publicly filed legal documents) is factual in nature. Facts are not copyrightable. Where we reference creative works (e.g., design aesthetics), we do so for the purpose of analysis.
III. Amount and Substantiality
We use only limited excerpts necessary to make our editorial points. We do not host full copies of internal documents, member lists, or high-resolution proprietary photography that would serve as a substitute for the original.
IV. Effect on the Potential Market
This publication does not compete with Soho House & Co. Reading our analysis is not a substitute for buying a membership. In fact, informed discussion often supports the market by engaging the community. Our "DSAR Tool" helps users exercise statutory rights they already possess; it does not compete with any commercial offering of the company.
4. UK Fair Dealing Notice
For visitors from the United Kingdom, our content is protected under the Copyright, Designs and Patents Act 1988, specifically:
- Section 30(1): Fair dealing for the purpose of criticism or review.
- Section 30(1A): Fair dealing for the purpose of quotation.
- Section 30(2): Fair dealing for the purpose of reporting current events.
We provide sufficient acknowledgement of sources and use materials only to the extent required for legitimate criticism and review.
5. DMCA Compliance & Takedown Procedure
We respect intellectual property rights. If you are a rights holder and believe your content has been used in a way that constitutes copyright infringement and falls outside the scope of Fair Use, you may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA).
To file a notice, please provide:
- Identification of the copyrighted work.
